This agreement is worth getting signed by your computer consultants, accountants, indeed anyone working outside your organisation who have access to information of a confidential nature. That is pretty much everyone in the company..........
1.1 <Client> undertake work in the capacity of <position> for <Company Name>. In the course of this work <Client> Directors and employees will need access to certain information relating to the Company.
1.2 While <Client> are employed by the Company as <position> the Directors and employees hereby undertake to agree as follows:
1.2.1 To hold the Confidential Information in confidence and not to disclose or permit it to be made available to any person, firm or company.
1.2.2 Only to use the Confidential Information for the Permitted Purpose.
1.2.3 To ensure that each person to whom disclosure of Confidential Information is made by you is fully aware in advance of your obligations under this letter.
1.2.4 Upon written demand from us to return any Confidential Information which you may hold on the company.
1.2.5 Keep confidential and not reveal to any person, firm or company the Confidential Information.
1.2 This agreement shall be governed by and construed in accordance with English law and the parties irrevocably submit to the non-exclusive jurisdiction of the Court of England and Wales in respect of any claim, dispute or difference arising out of or in connection with this agreement
